Job Description

Hiring.zycto is seeking a highly skilled and experienced Contract Manager – Corporate to join our dedicated legal and business operations team. This pivotal full-time role is based in Hamilton, ON, and will be instrumental in overseeing the entire contract lifecycle, from negotiation and drafting to execution, compliance, and renewal. The successful candidate will be a proactive problem-solver with a meticulous eye for detail, possessing a strong understanding of corporate law, risk management, and commercial terms. You will act as a key liaison between various internal departments, including legal, sales, finance, and operations, ensuring that all contractual agreements align with company policies, regulatory requirements, and strategic objectives. Key Responsibilities

  • Manage the full contract lifecycle, including drafting, reviewing, negotiating, executing, and archiving a wide range of corporate agreements (e.g., vendor, client, partnership, service, confidentiality).
  • Ensure all contracts comply with legal requirements, company policies, and risk management strategies.
  • Collaborate closely with internal stakeholders (Legal, Sales, Finance, Operations) to understand business needs and translate them into robust contractual terms.
  • Identify and mitigate contractual risks, providing clear, concise advice and recommendations to senior management.
  • Develop and implement contract management processes and tools to improve efficiency and accuracy.
  • Maintain an organized and accessible contract database, ensuring accurate record-keeping and timely renewals or terminations.
  • Lead negotiations with third parties, representing the company's interests effectively while fostering positive relationships.
  • Provide training and guidance to internal teams on contract-related matters and compliance best practices.
  • Monitor contract performance and compliance, addressing any deviations or disputes promptly and professionally.
  • Stay updated on relevant laws, regulations, and industry best practices affecting corporate contracts.

Required Skills

  • Minimum of 5-8 years of progressive experience in contract management, corporate law, or a related field.
  • Proven expertise in drafting, reviewing, and negotiating a variety of commercial contracts.
  • Strong understanding of legal principles, contract law, and risk mitigation strategies.
  • Exceptional analytical, problem-solving, and decision-making abilities.
  • Excellent written and verbal communication skills, with a keen eye for detail.
  • Ability to manage multiple priorities and complex projects in a dynamic environment.
  • Proficiency in contract management software and Microsoft Office Suite (Word, Excel, PowerPoint).
  • Demonstrated ability to build and maintain strong internal and external relationships.
  • A Bachelor's degree in Business, Law, or a related discipline.

Preferred Qualifications

  • Post-graduate degree in Law (J.D. or LL.B.) or an MBA.
  • Certification in Contract Management (e.g., CCCM, CPCM).
  • Experience with international contracts and cross-border transactions.
  • Familiarity with specific industry regulations pertinent to professional services or technology.
  • Prior experience working within an in-house legal department of a mid-to-large corporation.
