Are you a highly skilled and strategic Corporate Lawyer with a passion for business law? Hiring.zycto is seeking a dedicated professional to join our dynamic legal team in Vanier, Ottawa. Key Responsibilities
- Provide expert legal counsel on a wide range of corporate and commercial matters, including contracts, mergers and acquisitions, intellectual property, data privacy, and regulatory compliance.
- Draft, review, and negotiate various commercial agreements, including vendor contracts, partnership agreements, licensing agreements, and service agreements.
- Manage corporate governance matters, including board resolutions, corporate filings, and ensuring adherence to internal policies and external regulations.
- Conduct legal research and analysis to support business decisions and identify potential legal risks and opportunities.
- Advise on employment law matters, ensuring compliance with labor standards and best practices.
- Assist in the development and implementation of company policies and procedures to ensure legal compliance and best practices.
- Represent the company in discussions with external legal counsel, regulatory bodies, and other third parties as required.
- Provide legal support for new business initiatives, product development, and market expansion efforts.
- Stay updated on relevant legislative changes and industry trends, proactively advising the company on their implications.
Required Skills
- Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree from an accredited institution.
- Membership in good standing with the Law Society of Ontario.
- Minimum of 4 years of post-call experience in corporate/commercial law, preferably within a corporate legal department or a reputable law firm.
- Strong understanding of Canadian corporate law, contract law, and commercial regulations.
- Excellent negotiation, drafting, and analytical skills.
- Ability to work independently and as part of a collaborative team.
- Proven ability to manage multiple priorities and deadlines in a fast-paced environment.
- Exceptional communication and interpersonal skills, capable of explaining complex legal issues to diverse audiences.
Preferred Qualifications
- Experience with international business transactions or cross-border legal matters.
- Familiarity with intellectual property law, privacy regulations (e.g., PIPEDA, GDPR), or technology law.
- Bilingualism (English and French) is considered a significant asset.
- Prior experience working with growth-stage companies or in the technology sector.
