As the Head of Legal – Corporate, you will be the principal legal advisor to the executive team and Board of Directors, responsible for all corporate legal affairs. Your expertise will be crucial in navigating a diverse range of legal matters, including corporate governance, mergers & acquisitions, commercial contracts, regulatory compliance, intellectual property, and dispute resolution. Key Responsibilities
- Serve as the primary legal advisor to the executive team and Board of Directors on all corporate legal matters.
- Develop and implement comprehensive legal strategies that align with business objectives and growth plans.
- Oversee and manage all aspects of corporate governance, ensuring compliance with relevant laws, regulations, and best practices.
- Lead, mentor, and manage the internal legal team, fostering a high-performance and collaborative culture.
- Manage legal aspects of mergers, acquisitions, divestitures, and other strategic transactions, including due diligence and contract negotiation.
- Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, partnership agreements, and customer terms.
- Ensure company-wide compliance with applicable laws and regulations, including data privacy, employment law, and industry-specific mandates.
- Manage external legal counsel relationships and budgets effectively.
- Identify, assess, and mitigate legal and regulatory risks across all business operations.
- Oversee intellectual property portfolio management and protection strategies.
Required Skills
- Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with the Law Society of Ontario.
- Minimum of 10 years of progressive experience in corporate law, with at least 3 years in a senior leadership role.
- Demonstrated expertise in corporate governance, M&A, commercial law, and regulatory compliance.
- Exceptional leadership and team management capabilities.
- Strong negotiation, communication (written and verbal), and interpersonal skills.
- Proven ability to provide strategic, practical, and business-oriented legal advice.
- Excellent analytical, problem-solving, and decision-making abilities.
Preferred Qualifications
- Experience working within a rapidly growing technology or financial services company.
- Experience advising a public company board and management on SEC reporting and governance matters (if applicable).
- Background in managing a diverse intellectual property portfolio.
- Experience with international legal considerations and multi-jurisdictional compliance.
