Job Description

Hiring.zycto is seeking a highly skilled and experienced Senior Legal Counsel with a strong focus on corporate law to join our vibrant team in Parkdale, Toronto. As our Senior Legal Counsel – Corporate, you will be a key advisor on a wide range of sophisticated legal matters, including mergers and acquisitions, corporate governance, securities compliance, complex commercial transactions, and risk management. You will play a crucial role in drafting, negotiating, and reviewing a variety of agreements, providing expert opinions on legal risks, and developing robust internal policies and procedures. Key Responsibilities

  • Provide expert, strategic legal advice to the executive team and business units on a broad range of corporate legal matters, including M&A, joint ventures, financing, and corporate structuring.
  • Lead the drafting, review, and negotiation of complex commercial agreements, including vendor contracts, partnership agreements, licensing agreements, and service agreements.
  • Ensure robust corporate governance practices, compliance with applicable securities laws and regulations, and manage related filings and disclosures.
  • Identify, assess, and mitigate legal risks across the organization, developing proactive strategies to protect company interests.
  • Oversee and manage legal aspects of M&A transactions, from due diligence to closing and integration.
  • Develop and implement internal legal policies, procedures, and training programs to ensure compliance and best practices.
  • Manage and liaise with external legal counsel on specialized matters or litigation when necessary.
  • Stay abreast of relevant legislative and regulatory developments, advising on their impact on company operations.
  • Mentor and guide junior legal staff, fostering their professional development and contributing to a collaborative team environment.

Required Skills

  • Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree from an accredited university.
  • Membership in good standing with the Law Society of Ontario.
  • Minimum of 8 years of post-call experience practicing corporate law, preferably within a leading law firm or in-house legal department of a large corporation.
  • Demonstrated expertise in M&A, corporate governance, securities law, and complex commercial contracting.
  • Exceptional analytical, problem-solving, and negotiation skills.
  • Strong ability to communicate complex legal concepts clearly and concisely, both verbally and in writing.
  • Proven capacity to work independently, manage multiple priorities, and meet deadlines in a fast-paced environment.
  • Strategic thinker with a pragmatic, business-oriented approach to legal advice.

Preferred Qualifications

  • Experience in high-growth technology, financial services, or other regulated industries.
  • Experience with international transactions and multi-jurisdictional legal issues.
  • Additional post-graduate degree (e.g., LL.M. or MBA).
