Job Description

Hiring.zycto is seeking a highly skilled and experienced Tax Lawyer with a strong focus on finance to join our thriving legal team in Toronto. This pivotal role involves providing expert tax advice and strategic counsel on a wide array of financial transactions and corporate matters. You will be instrumental in advising clients, ranging from startups to multinational corporations, on domestic and international tax implications related to mergers and acquisitions, corporate reorganizations, financial instruments, real estate development, and private equity investments.

We are looking for a professional who can not only interpret complex tax legislation but also apply it practically to develop innovative and compliant tax strategies that align with our clients’ business objectives. The ideal candidate will possess a deep understanding of Canadian tax law, particularly as it pertains to financial structures and transactions, and will be adept at identifying and mitigating tax risks. You will work closely with our corporate and finance teams, contributing your specialized knowledge to interdisciplinary projects and ensuring comprehensive legal solutions for our clients. Key Responsibilities

  • Provide expert legal advice on Canadian and international tax law, with a particular emphasis on financial transactions, corporate finance, and investment structures.
  • Advise clients on tax implications related to mergers, acquisitions, dispositions, corporate reorganizations, and private equity investments.
  • Draft, review, and negotiate complex tax provisions in commercial agreements and financial documents.
  • Conduct thorough tax research, analyze legislative changes, and develop innovative tax planning strategies for clients.
  • Represent clients in tax audits, disputes, and appeals with tax authorities, including the Canada Revenue Agency.
  • Collaborate with internal legal teams and external financial advisors to ensure integrated and holistic client solutions.
  • Stay abreast of developments in tax legislation, case law, and regulatory guidelines to proactively advise clients on potential impacts.
  • Mentor junior lawyers and contribute to the firm's knowledge management initiatives.

Required Skills

  • Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree from an accredited institution.
  • Membership in good standing with the Law Society of Ontario.
  • Minimum of 5 years of post-call experience practicing tax law, specifically within a finance context.
  • Profound knowledge of Canadian income tax legislation, regulations, and administrative policies.
  • Demonstrated experience in corporate tax planning, M&A tax, and financial instruments.
  • Exceptional analytical, research, and problem-solving abilities.
  • Superior written and verbal communication skills, with the ability to convey complex legal concepts clearly.
  • Strong negotiation and client management skills.

Preferred Qualifications

  • Master of Laws (LL.M.) in Taxation or completion of the CPA In-Depth Tax Course.
  • Experience with international tax planning and cross-border transactions.
  • Prior experience working with financial institutions, private equity firms, or large corporate clients.
