Key Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, client agreements, licensing agreements, and non-disclosure agreements.
- Provide legal advice and support on corporate governance matters, ensuring compliance with relevant laws and regulations.
- Manage and advise on intellectual property matters, including trademarks, copyrights, and trade secrets, and assist with portfolio management.
- Conduct thorough legal research and provide accurate, timely, and practical advice on various legal issues affecting the company's operations and strategic projects.
- Assist in the development, implementation, and continuous improvement of company policies and procedures to ensure legal compliance and mitigate risk across all departments.
- Support the business development team on new initiatives, product launches, and strategic partnerships, providing legal foresight and guidance.
- Manage litigation and disputes, working closely with external counsel when necessary, and provide strategic input on resolution.
- Stay abreast of changes in laws and regulations relevant to the company's business and advise proactively on their implications and necessary adaptations.
- Educate internal stakeholders on legal risks, best practices, and compliance requirements through training and clear communication.
- Assist with corporate financing, M&A activities, and other strategic transactions, including due diligence and deal documentation, as required.
Required Skills
- Juris Doctor (J.D.) or equivalent legal degree from an accredited institution.
- Active membership in good standing with the Law Society of Ontario.
- Minimum of 5 years of post-call experience practicing corporate law, preferably with a blend of law firm and in-house experience.
- Strong understanding of contract law, intellectual property law, and corporate governance principles.
- Excellent drafting, negotiation, and communication skills (written and verbal) with an ability to simplify complex legal concepts.
- Ability to work independently, manage multiple priorities, and consistently meet deadlines in a fast-paced, dynamic environment.
- Proven ability to provide practical, business-oriented legal advice that aligns with strategic objectives.
- High degree of integrity, professionalism, and ethical conduct, with a strong sense of accountability.
Preferred Qualifications
- Experience in technology, finance, or a rapidly evolving industry sector.
- Familiarity with privacy laws (e.g., PIPEDA, GDPR) and data security regulations.
- Experience with international commercial agreements and cross-border transactions.
- Proven track record of building strong, collaborative relationships with internal stakeholders across various departments.
