Job Description

Hiring.zycto is seeking an accomplished and meticulous Board Secretary with a strong focus on governance to join our executive team in Nether Edge, Sheffield. This pivotal role requires a seasoned professional dedicated to upholding the highest standards of corporate governance, ensuring compliance with all statutory and regulatory requirements, and providing comprehensive administrative support to our Board of Directors and its committees. You will be instrumental in maintaining the integrity of our decision-making processes and fostering transparent, accountable operations.

The Board Secretary will act as a primary point of contact for the Board, senior management, and external stakeholders on matters of corporate governance. You will be responsible for the efficient management of all board and committee meetings, including the meticulous preparation and distribution of agendas, board papers, and minutes. Your expertise will be crucial in advising the Board on best practices in governance, ensuring adherence to our Articles of Association, company policies, and relevant legislation. This role goes beyond mere administration; it demands a proactive approach to risk management, ethical conduct, and strategic foresight.

Key Responsibilities

  • Manage and coordinate all aspects of board and committee meetings, including scheduling, agenda preparation, document distribution, and minute taking.
  • Ensure strict compliance with all statutory, regulatory, and constitutional requirements relevant to corporate governance and company secretarial practice.
  • Advise the Board of Directors and senior management on corporate governance best practices, company law, and regulatory changes.
  • Maintain accurate and up-to-date corporate records, statutory registers, and ensure timely and accurate filings with Companies House and other regulatory bodies.
  • Facilitate effective communication channels between board members, senior management, and other internal/external stakeholders.
  • Draft, review, and disseminate board papers, resolutions, and other official corporate documents.
  • Oversee the onboarding process for new directors, providing necessary induction and ongoing support regarding their roles and responsibilities.
  • Support the Chair and other Board members in fulfilling their fiduciary duties and responsibilities.
  • Manage and oversee shareholder relations and communication where applicable, ensuring compliance with relevant regulations.

Required Skills

  • Proven experience as a Board Secretary or in a similar corporate governance role.
  • Strong understanding of UK company law, corporate governance principles, and regulatory compliance.
  • Exceptional organizational skills, with a meticulous attention to detail and the ability to manage multiple priorities.
  • Superior written and verbal communication skills, capable of drafting precise and professional documents.
  • High level of integrity, discretion, and confidentiality.
  • Proficiency in Microsoft Office Suite and experience with board management software.
  • Ability to work autonomously and as part of a high-performing team.

Preferred Qualifications

  • Relevant professional qualification (e.g., ICSA/CSQS or equivalent).
  • Bachelor's degree in Law, Business Administration, Finance, or a related field.
  • Experience working within a regulated industry or a similar professional services environment.
  • Knowledge of charity governance regulations, if applicable to the company's structure.
