Hiring.zycto is seeking a highly skilled and pragmatic Legal Counsel to join our growing team in Fairbank, Toronto. This pivotal role offers the opportunity to provide comprehensive legal advice and support across all facets of our organization, playing a crucial part in our strategic decision-making and day-to-day operations.
As our In-House Legal Counsel, you will be instrumental in navigating complex legal landscapes, identifying potential risks, and developing effective mitigation strategies. You will be responsible for drafting, reviewing, and negotiating a wide array of commercial contracts, ensuring compliance with relevant laws and regulations, and managing intellectual property matters. This role requires a proactive individual with a keen eye for detail, excellent analytical skills, and the ability to communicate intricate legal concepts clearly to non-legal stakeholders. You will be expected to stay abreast of evolving legal and regulatory frameworks pertinent to our industry, proactively advising management on potential impacts and necessary adjustments to our business practices.
You will work closely with various departments, including executive leadership, sales, marketing, human resources, and operations, acting as a trusted advisor. Your contributions will directly impact our corporate governance, privacy compliance, litigation management, and policy development. Key Responsibilities
- Provide expert legal advice and support on a broad range of legal issues affecting the company's operations.
- Draft, review, and negotiate various commercial agreements, including vendor, client, partnership, and licensing contracts.
- Ensure compliance with all applicable laws, regulations, and internal policies (e.g., privacy, data protection, consumer protection).
- Manage and advise on intellectual property matters, including trademarks, copyrights, and trade secrets.
- Conduct legal research and analysis to anticipate and mitigate potential legal risks and advise on risk management strategies.
- Support the Human Resources department on employment law matters, including policy development, agreements, and disputes.
- Assist in corporate governance matters, including preparing board resolutions, corporate filings, and maintaining corporate records.
- Oversee and manage litigation or dispute resolution processes, collaborating effectively with external counsel when necessary.
- Develop and deliver legal training and guidance to internal teams on relevant legal topics and compliance requirements.
- Advise on legal aspects of new product development, business initiatives, and market expansion strategies.
Required Skills
- Juris Doctor (J.D.) or LL.B. degree from an accredited law school.
- Licensed to practice law in Ontario and in good standing with the Law Society of Ontario.
- Minimum of 3-5 years of post-call experience practicing corporate/commercial law, preferably with some in-house experience.
- Strong drafting, negotiation, and analytical skills with meticulous attention to detail.
- Excellent written and verbal communication abilities, capable of translating complex legal concepts for non-legal audiences.
- Proven ability to manage multiple projects and priorities effectively in a fast-paced, dynamic environment.
- Demonstrated knowledge of contract law, corporate governance, and regulatory compliance frameworks.
- High degree of professionalism, integrity, and ethical conduct.
Preferred Qualifications
- Experience in technology, finance, or a similarly fast-paced, regulated industry.
- Familiarity with Canadian privacy laws (e.g., PIPEDA) and international privacy regulations (e.g., GDPR, CCPA).
- Experience with M&A transactions or corporate restructuring.
- Ability to work independently with minimal supervision and collaboratively as part of a cross-functional team.
- Proactive approach to problem-solving and risk management, identifying issues before they arise.
